Resolution of the Mayor and Council Of Princeton Authorizing the Award of a Master Performance Agreement in Accordance with the Recommendation Set Forth in the Evaluation Report Dated June 19, 2025, in Connection With Princeton’s Community Solar Renewable Energy Program

WHEREAS, Princeton desires to undertake the development and implementation of a Community Solar Renewable Energy Program (“Program”); and,
WHEREAS, under the Program, Princeton will select a firm to implement the Program in accordance with the rules established by the Board of Public Utilities (“BPU”) Community Solar Program for a solar project to be designed, permitted, financed, owned, and operated by the Successful Respondent at a remote location; and
WHEREAS, Successful Respondent will also be required to enter into a Master Performance Agreement with Princeton pursuant to which the Successful Respondent will be required to virtually provide low-cost renewable energy to low- and moderate-income Princeton residents; and
WHEREAS, Princeton has identified low- and moderate-income residents through their participation in the Section 8 Housing Choice Voucher Program or residence in an affordable housing unit; and
WHEREAS, the Program will result in the selected automatically enrolled residents being subscribed to a community solar project and receiving bill credit discounts on their electricity bills; and
WHEREAS, Princeton issued a Request for Proposals For a Solar Energy Project Developer to Develop a Municipal Community Solar Automatic Enrollment Project and to Enter into a Master Performance Agreement with Princeton, dated March 3, 2025 (“RFP”); and
WHEREAS, on April 22, 2025, Princeton received two (2) proposals in response to the RFP from the following firms:
• Solar Landscape
• HESP Solar
WHEREAS, following a legal and technical review of the proposals received, the Evaluation Team interviewed each respondent; and
WHEREAS, in accordance with N.J.S.A. 40A:11-4.5(d), the Evaluation Team has completed an Evaluation Report, dated June 19, 2025 and attached hereto as Exhibit A recommending a Successful Respondent to Princeton.
NOW, THEREFORE, BE IT RESOLVED by the Council of Princeton that:
1) The recommendation of the Evaluation Team contained in the Evaluation Report, attached hereto as Exhibit A, that Solar Landscape be selected as the Successful Respondent and be awarded a Master Performance Agreement is hereby accepted.
2) The Successful Respondent and Princeton will jointly register as a municipal community solar automatic enrollment program to be served by projects with a 36.02% discount value.
3) The Business Administrator is hereby authorized and directed to work with legal counsel and the energy consultant to develop an acceptable form of Master Service Agreement with Solar Landscape and execute same along with any other ancillary documents necessary to effectuate the intent and purpose of this Resolution and the Master Performance Agreement.
4) The Business Administrator is hereby authorized and directed to work with Solar Landscape and Princeton’s energy consultant to move forward with project development; to develop a subscriber group; and to otherwise implement a successful municipal automatic enrollment Community Solar program on behalf of Princeton.
5) Notice of this award shall be published in Princeton’s official newspapers.
6) This Resolution shall take effect immediately.
