Resolution of the Mayor and Council of Princeton Authorizing a Site License Agreement with New Cingular Wireless PCS, LLC (“New Cingular”) at 12 Witherspoon Street

WHEREAS, in 2021 New Cingular Wireless PCS, LLC (“New Cingular”) and the Municipality of Princeton (“Municipality”) executed a Right-of-Way Use Agreement for purposes of enabling New Cingular to locate, place, attach, install, control, upgrade and maintain telecommunications equipment in the Municipality’s right-of-way (“ROW Agreement”); and
WHEREAS, pursuant to subsection 1.19 of the ROW Agreement, the parties executed a Site License Agreement for two locations on Witherspoon Street and Nassau Street, which was authorized by Council Resolution #2021-135 (“2021 SLA”); and
WHEREAS, the 2021 SLA included New Cingular’s installation of certain telecommunications equipment at 12 Witherspoon Street in the public right of way on facilities owned by the Municipality or by third parties; and
WHEREAS, the location is described as follows: 12 Witherspoon Street (PRNC1_004) - Located on the westerly side of Witherspoon Street approximately 150 feet north of Nassau Street (State Highway 27), and the existing equipment is mounted on an existing utility pole with an overall height of 41 feet; and
WHEREAS, New Cingular intends to replace the existing equipment at 12 Witherspoon Street with new pole-mounted equipment, which shall include a new antenna, equipment cabinet, and power cut-off switch and power will be fed from the existing ground cabinet adjacent to the pole; and
WHEREAS, New Cingular’s purpose in replacing the existing equipment is to improve its network to meet the demands of telecommunications services; and
WHEREAS, due to the nature of the changes in equipment at 12 Witherspoon Street, the Municipality wishes to enter into a new Site License Agreement with New Cingular which grants New Cingular the right to install and attach the new wireless installations on, under and above the public right-of-way on, in and adjacent to 12 Witherspoon Street and as originally authorized by Resolution #2021-135.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of Princeton on this 28th day of September 2026 as follows:
1. The preamble to this resolution is hereby incorporated as if fully restated herein.
2. The Mayor and Clerk are hereby authorized and directed to sign a new Site License Agreement, a copy of which is on file in the office of the Municipal Clerk, or such substantially similar agreement as may be approved by the Municipal Attorney and Municipal Engineer.
3. Upon execution of the new Site License Agreement, said Agreement shall supersede 2021 SLA and the 2021 SLA shall be null and void and no longer in effect.
4. This resolution shall take effect immediately.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of Princeton on this 28th day of September 2026 as follows:
1. The preamble to this resolution is hereby incorporated as if fully restated herein.
2. The Mayor and Clerk are hereby authorized and directed to sign the Site License Agreement, a copy of which is on file in the office of the Municipal Clerk, or such substantially similar agreement as may be approved by the Municipal Attorney and Municipal Engineer.
3. This resolution shall take effect immediately.
