Resolution of the Mayor and Council of Princeton Extending an Extraordinary Unspecifiable Services Agreement with Sustainable Princeton for Services Related to Sustainability for an Amount Not to Exceed $150,000.00

WHEREAS, by Resolution 24-54 adopted on February 12, 2024, the Mayor and Council of Princeton authorized the award of an agreement ("the 2024 Agreement") to Sustainable Princeton for support services related to sustainability for an amount not to exceed $105,000.00 and a term from January 1, 2024, until December 31, 2024; and
WHEREAS, pursuant to the resolution and agreement between Princeton and Sustainable Princeton, the term of the 2024 Agreement may be extended for up to two (2) additional one (1) year terms; and
WHEREAS, by Resolution 25-24 adopted on January 7, 2025, the Mayor and Council of Princeton authorized the first extension of the 2024 Agreement for an amount not to exceed $109,000.00; and
WHEREAS, Sustainable Princeton has provided a proposal for the second and final one (1) year extension for an amount not to exceed $150,000.00; and
WHEREAS, Sustainable Princeton has been performing the services under the 2024 Agreement in an effective and efficient manner; and
WHEREAS, Princeton wishes to amend the current agreement to include the following terms:
Princeton will allow Sustainable Princeton to utilize designated space as an access point for services. Sustainable Princeton acknowledges that Princeton maintains ownership of the space utilized by Sustainable Princeton. Sustainable Princeton staff will have access to common areas such as restrooms and will comply with Princeton's requirements for parking, identification badges, etc. Princeton will provide the space including parking, utilities and maintenance expenses. Sustainable Princeton will maintain responsibility for all equipment brought on site for the delivery of services by Sustainable Princeton.
