Resolution of the Mayor and Council of Princeton Authorizing an Increase of $18,038.62 to the Not to Exceed Amount for the Professional Services Agreement with Scarinci Hollenbeck, LLC for Special Environmental Legal Services in 2024 for a New Not to Exceed Amount of $283,038.62

WHEREAS, by Resolution 24-269 adopted on September 9, 2024, Princeton Council awarded a professional services agreement to Scarinci Hollenbeck, LLC for Special Environmental Legal Services (the "Agreement") for an amount not to exceed $165,000.00 and term of one year; and
WHEREAS, by Resolution 25-193 adopted on May 27, 2025, Princeton Council authorized an increase of $100,000.00 to the Agreement for a new not to exceed amount of $265,000.00; and
WHEREAS, additional services were needed prior to the end of the contract term that exceeded the contract amount; and
WHEREAS, Princeton wishes to increase the contract amount $18,038.62 for a new not to exceed amount of $283,038.62; and
WHEREAS, the Chief Financial Officer has certified that sufficient funds are available to pay for said services from 01-203-20-155-279.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Municipality of Princeton, County of Mercer, State of New Jersey, as follows:
1. The Mayor and Council, or their designee, hereby authorize the second amendment to the agreement originally authorized by Resolution 24-269 on September 9, 2024, and amended by Resolution 25-193 on May 27, 2025, to increase the not to exceed amount by $18,038.62 for a new not to exceed amount of $283,038.62.
2. All remaining provisions of the original agreement not otherwise amended by or inconsistent herewith shall remain in full force and effect.
3. This Resolution, when countersigned by Scarinci Hollenbeck, LLC, shall serve as the second amendment to the original agreement between the parties.
4. A copy of this resolution will be kept on file in the Office of the Clerk.
